By accepting and signing the ‘Native Spirit charter’, you can go ahead with the purchase of products and get access to the marketing tools available in "My Toolbox". Orders and getting access to these tools are available after approval and signature of this charter.

NATIVE SPIRIT special terms and conditions

These terms and conditions complement the Toptex terms and conditions of sale. Under no circumstances may these replace the terms and conditions of sale.

These special terms and conditions apply only to the sale of NATIVE SPIRIT products.

1. General

1.1.

The Native Spirit products for sale on the Toptex site are exclusively sold with no markings. Each customer who purchases a product from this brand must transform it using the technique of their choice (silkscreen printing, digital printing, embroidery, transfer, etc.) before selling it. This specifically means that customers are not authorised to sell unmarked Native Spirit products. Toptex has the right to terminate any collaboration with a customer that does not follow the principle set out above.

The NATIVE SPIRIT brand presents its product offer with GOTS (Global Organic Textile Standard), GRS (Global recycled Standard), RCS, RCS Blended (Recycled Content Standard), OCS 100, OCS Blended (Organic Content Standard) and OEKOTEX certification. However, these products will no longer be deemed certified after transformation if the customers themselves are not certified by the relevant bodies.

From this point, only certified customers will be authorised to use certification logos on their site and their various communications materials. Toptex and Native Spirit will not be held responsible in the event of a dispute between the customer and the certifying bodies.

2. Intellectual property

2.1. The visual identity, principally the name and logo, are the property of Native Spirit and thus protected by intellectual property law (trademark law, design law, copyright, etc.). Under no circumstances may these images be edited or distorted.

2.2. Every year, Native Spirit creates and produces a series of items and visuals with models, in a studio or setting, for the exclusive purposes of promoting the products sold under the “Native Spirit” label.

2.3. The Native Spirit visuals mentioned in article 2.2, available for download from the Toptex site in the “marketing tools” space or in the Native Spirit photo library, may only be used by customers to promote and sell the products sold under the Native Spirit label to their professional customers.

Their other customers, namely those who use the products under their own name and which are not therefore sold as “Native Spirit” products, may not use the model visuals. For this type of communication, Toptex and Native Spirit provide “packshot” and “flatshot” visuals, i.e. 3D or flat product photos without models. This type of visual may be used for marking simulations or to promote the products under a label other than Native Spirit.

Native Spirit reserves the right to withdraw these authorisations at any time.

2.4. In any event, the images/visuals belong to their creators and are subject to copyright and image rights for a period of one year. Under no circumstances may these images be edited in any manner. Furthermore, these visuals are available to Toptex customers for the sole purpose of promoting Native Spirit.

Toptex customers are responsible for creating and producing visuals with the Native Spirit products that reflect their own brand identity. Neither Native Spirit nor Toptex will be held responsible in the event of negative visuals (racist, abusive, defamatory or pornographic, whatever their form) produced by the customer.

This Image Charter applies to any use, distribution or publication of Native Spirit’s graphic elements (photos, logos, guides, videos, etc.) by a customer.

2.5. Native Spirit does not authorise Google charged search engine optimisation, or equivalent, under its name.

2.6. The sale of unmarked NATIVE SPIRIT products on third-party digital platforms is strictly forbidden without the brand’s prior authorisation. Any requests for authorisation must be sent via email to the following address: [email protected].

In the event of non-compliance, Toptex and Native Spirit will take the necessary actions against those in question, which may result in the withdrawal of the right to sell the brand.

Privacy policy

Top-Tex Group (the data controller) is a limited liability company with a single shareholder whose head office is located at 10 avenue du Girou, Villeneuve-lès-Bouloc (31620), France and registered in the Toulouse Trade and Companies Register (registration number: 388 833 477). Top-Tex Group is part of Tex- Groupement also located at 10 avenue du Girou, Villeneuve-lès-Bouloc (31620), France and registered in the Toulouse Trade and Companies Register (registration number: 752 032 888). Top-Tex Group and Tex Groupement are joint controllers (hereinafter “we”) for certain processing operations mentioned in this Privacy Policy (hereinafter the "Policy").

EDOS, whose head office is located at 9 rue Schimper, Strasbourg (67000), has been appointed as Data Protection Officer for Top-Tex Group and Tex Groupement.

We give great importance to the protection of your privacy and your individual freedoms and we are committed to ensure their protection in compliance with data protection regulations applicable in France and in Europe.

The Policy aims to inform you in particular of the principles that govern the way we process your personal data, as well as the purposes pursued by the main processing operations carried out by Top-Tex Group and Tex Groupement.

We invite you to read it carefully and consult it regularly in order to take note of any changes or updates made to it.

1. Legal and regulatory framework

We are committed to respect our obligations in terms of personal data protection according to:

  • The law n° 78-17 of January 6, 1978 as amended by the law n°2018-493 of June 20, 2018;
  • The European Regulation n°2016/679 of April 27, 2016 (hereafter, the "GDPR").

2. Personal data processing activities

We process the personal data of our customers, prospects and suppliers in the course of carrying out the contract under which we entered into the relationship, in the pursuit of our legitimate interests (business interests, improvement of services offered, continuity of IT services, IT security, security of premises and staff) and our legal obligations for the following purposes:

Clients:

  • Management of the commercial relationship;
  • Customer account opening;
  • Order management;
  • Organization of deliveries;
  • Customer service improvement;
  • Management of received payments;
  • Billing management;
  • Accounting management;
  • Follow-up of unpaid invoices;
  • Recovery of unpaid invoices;
  • Follow-up of claims;
  • Management of commercial prospecting;
  • Management of commercial communication (website, blog posts, catalogs distribution, emailing, sanding samples);
  • IT support management associated with the management of the customer account;
  • Personalized contacts (incoming calls);
  • Elaboration of business statistics;
  • IT security management;
  • Management of the security of goods and people (during the presence in our premises);
  • Follow-up of data subjects’ requests to exercise GDPR rights.

  • Management of the security of goods and people (during the presence in our premises);

  • Commercial relationship management;
  • Supply management;
  • Supplier order management;

  • Personalized contacts (incoming calls);
  • Elaboration of business statistics;
  • Management of the security of goods and people (during the presence in our premises);

For above-mentioned purposes, we process data relating to your identity (last name, first name, e-mail address, telephone number, postal address, position held in the company) and economic and professional data (bank details of the company in which you work, credit card details) and any nominative information appearing on documents associated with the processing activities carried out.

In this context, these personal data is processed for a period not exceeding that necessary for the purposes pursued, taking into account the applicable data retention periods, in particular:

  • Customers : five (5) years from the end of the business relationship;
  • Prospects: three (3) years from the last contact with the prospect;
  • Suppliers: five (5) years from the end of the commercial relationship.

The recipients of the personal data are (strictly in consideration of the purposes pursued):

  • Tex Groupement’s and Top-Tex Group’s internal departments, including directors, sales department, accounting department, IT department, marketing department and CSR department;
  • The other companies of the group;
  • Our IT providers;
  • Our marketing providers;
  • Our carriers;
  • Banks;
  • Our certified public accountant;
  • Financial auditors;
  • Our debt collection agency;
  • Our credit insurance and the insurance broker.

In the context of our processing activities, data is transferred outside the European Union by one of the IT providers, the company CloudFlare. When your personal data is transferred outside the European Union, we try to systematically take all the necessary measures to ensure that the recipients guarantee the respect of an adequate level of protection equivalent to the national and European regulations, including the use of standard contractual clauses and the application of technical, organizational and legal measures to frame these transfers.

3. Security measures implemented

We are committed to maintain the confidentiality, integrity, availability and security of your personal data. In accordance with Article 32 of the Regulation, we endeavor to implement appropriate technical, logical and organizational measures to ensure the most appropriate level of security to the risks involved in processing your personal data. We also put in place measures to prevent, as far as possible, any loss, accidental destruction, alteration and unauthorized access to your personal data.

4. Terms and conditions for exercising rights

In accordance with applicable law, you have the right to:

  • Access and rectify your personal data (right of access and right to rectification);
  • Object to the processing of your personal data for legitimate reasons (right to object);
  • Within the limits provided by the law, request that the processing of your data be restricted or that personal data be deleted (right to restriction of processing and right to erasure);
  • Request the portability of your personal data (right to portability).
